Partnering Mechanisms

Technology Transfer Partnering Agreements match opportunities with partnering tools. Companies can benefit from ARDEC technologies through these other technology transfer mechanisms.

ALLIANCE

(SEE Memorandum of Agreement (MOA) Memorandum of Understanding (MOU)) An alliance is an informal T2 tool that allows a federal laboratory to enter into a Memorandum of Understanding (MOU) or Memorandum of Agreement (MOA) with a group of companies, laboratories, and/or educational institutions to pursue common technology interests. MOUs and MOAs are typically nonbinding agreements, which serve to outline the principles and terms of reference of the alliance. These documents also serve to outline the specific T2 efforts to be undertaken and the expected accomplishments of the alliance. An alliance is not a merger, where the assets are combined. Each of the partners remains a distinct entity.

BAILMENT AGREEMENT

A Bailment is an agreement between the owner and another that governs the use of personal property such as equipment no matter where the equipment is located.

CONTRACTS

Contracts describe large and sometimes dissimilar group formal agreements from credit card transactions through 5 year or more multimillion dollar contracts, “cooperative agreements and other transactions”.

COOPERATIVE AGREEMENT (CA)

Cooperative Agreements are a variant of a contract where both the Government and the contractor both contribute to a defined goal and both have enforceable duties.

COOPERATIVE RESEARCH AND DEVELOPMENT AGREEMENT (CRADA)

A CRADA is a written agreement between one or more federal laboratories and one or more non-federal parties under which the Government, through its laboratories, provides personnel, facilities, equipment or other resources with or without reimbursement (but not funds to non-federal parties). The non-federal parties provide funds, people, services, facilities, equipment, or other resources to conduct specific research or development efforts that are consistent with the agency's mission.

EDUCATIONAL PARTNERSHIP AGREEMENT (EPA)

Educational Partnership Agreements allow the transfer of material and equipment (and the use of equipment) by DOD organizations to educational institutions (defined as a local educational agency, (elementary and secondary schools and administrative units up to the state level [20 U.S.C. 8801], colleges, universities, and any other nonprofit institutions that are dedicated to improving science, mathematics, and engineering education (only US locations).

Grants and cooperative agreements are entered into by the government with a recipient to transfer money or property to the recipient to support or stimulate research.

INTERAGENCY SUPPORT AGREEMENT

The Inter-Agency Support Agreement is the agreement form between the Federal organization controlling real property and the organization using that property covering the payment to the former of operational costs of the former caused by the use of the property by the later.

INTERGOVERNMENTAL COOPERATION ACT

A cooperative agreement is the legal instrument reflecting a relationship between the United States Government and a State, a local government, or other recipient when— (1) the principal purpose of the relationship is to transfer a thing of value to the State, local government, or other recipient to carry out a public purpose of support or stimulation authorized by a law of the United States instead of acquiring (by purchase, lease, or barter) property or services for the direct benefit or use of the United States Government; and (2) substantial involvement is expected between the executive agency and the State, local government, or other recipient when carrying out the activity contemplated in the agreement.

Agreements pertaining predominately to DA matters that involve the collection or exchange of military information and data, other than military intelligence and technical data excluded by AR 550-5, Paragraphs 6a(6) and (12).

"Other Transactions", very much like Cooperative Agreements, are Federal contracts but are generally exempt from many of the provisions of the Federal Acquisition Regulations and the DFAR with the intent that more flexibility is needed to meet unique situations where the parties work jointly toward a common goal.

PARTNERSHIP INTERMEDIARY AGREEMENT (PIA)

Partnership Intermediary agreements can take the form of an MOU or contract and are authorized under a different title and section of the Federal statutes. The FAR and DFAR are often utilized as guides to these transactions. Because these are contracts, use of federal facilities may be provided to the contractor if used in furtherance of the effort (see facilities use agreements).

PATENT LICENSE AGREEMENT (PLA)

Federal laboratory directors are empowered to license exclusively or nonexclusively to private organizations the right to prevent others from the manufacture, use or sale of products and services that contain or utilize patented Federal technology.

PERSONNEL EXCHANGE AGREEMENT

The Intergovernmental Personnel Act Mobility Act allows employees (full time for the last 90 days) of the Federal government, a state or local government, educational institution, or a nonprofit organization which has as one of its principal functions the offering of professional advisory, research, educational, or development services, or related services, to governments or universities concerned with public management; or a federally funded research and development center to be located in the others organization.

TEST SERVICE AGREEMENT

10 U.S.C 2539b authorizes the directors or commanders of government laboratories, centers, or other facilities to make available to any person or entity, at a prescribed fee, the services of the government facility for the testing of materials, equipment, models, computer software, and other items. A TSA should be used if the service is to be provided by the laboratory with no technical collaboration by the partner. The service performed must legitimately be the testing of materials, equipment, models, computer software, or other items. A TSA is not appropriate for research studies or investigations nor does it authorize the sale of products only services. The entity requesting the laboratory's services must establish in writing that provision of the services will not constitute undue competition with the private sector and that the service requested does not involve expansion of laboratory capabilities or facilities, even if the requesting entity offers to finance the expansion. The legislation defines "person or entity" to be an individual, partnership, corporation, association, state, local, or tribunal government, or an agency or instrumentality of the United States. Thus, the only limitation on participants is that they may not be agencies of foreign governments.

Any real property under the control of any Federal Agency that is not needed for the discharge of agency responsibilities.

A contracting officer may provide Government production and research property on an "as is" basis for performing fixed-price, time-and-material and labor-hour contracts

LEASE 10 U.S.C. 2667 (ENHANCED USE or FACILITY)

This statute allows DOD organizations to lease non-excess property for 5 years (longer term with Service Secretary approval) for non-defense uses in return for cash or in-kind payment equal to the FMV or less if in the public interest.

A Federal agency may lease an historic property to any person or organization or exchange any property owned if the action will adequately ensure the preservation of the historic property.

MORALE, WELFARE AND RECREATION AGREEMENT

Public-Private Venture (PPV) Agreement. An agreement between a DoD Non appropriated fund instrumentality (NAFI) and a non-Federal entity whereby the non-Federal entity provides goods, services, or facilities to authorized Morale, Welfare, and Recreation (MWR) and exchange patrons. The non-Federal entity may, through the PPV, provide a portion or all of the financing, design, construction, equipment, staffing and operation of a program for goods, services, or facilities.
